Terms and Conditions

These Terms and Conditions govern access to ktc.co.ug and
the consultancy services, training programmes, software,
digital products and learning resources provided by
Kufundisha Tecknologia Consults.

By accessing this website, submitting an enquiry,
registering for training, purchasing a product,
downloading a resource or engaging KTC for a service,
you acknowledge that you have read, understood and
agreed to these Terms and Conditions.

Introduction

Welcome to ktc.co.ug, the official
website of Kufundisha Tecknologia Consults,
referred to in these Terms and Conditions as
“KTC”, “we”, “us” or “our”.

These Terms and Conditions govern your access to and
use of the ktc.co.ug website, its subdomains, online
platforms, downloadable resources, software products
and services offered through the website.

By accessing the website, submitting an enquiry,
registering for an account, purchasing a product,
downloading a resource or engaging KTC to provide a
service, you confirm that you have read, understood
and agreed to these Terms and Conditions.

Where you do not agree with these Terms and Conditions,
you should discontinue your use of the website and
its services.

About KTC

Kufundisha Tecknologia Consults is an educational
technology consultancy operating from Uganda.
KTC provides services that may include:

  • e-learning and educational technology consultancy;
  • digital pedagogy and instructional design;
  • online and blended learning programme development;
  • Learning Management System installation, configuration and administration;
  • Moodle development, support and integration;
  • digital content and interactive learning resource development;
  • accessibility assessment and digital inclusion services;
  • educational technology research, monitoring and evaluation;
  • professional development and capacity-building programmes;
  • software applications, plugins and accessibility tools; and
  • technical support, maintenance and related digital services.

The availability, scope and conditions of each service
may be described in a proposal, quotation, contract,
service-level agreement, licence agreement, product
page or statement of work.

Eligibility and authority

You may use this website only where you have the legal
capacity to enter into a binding agreement.

Where you access the website on behalf of a university,
school, government agency, company, non-governmental
organisation or another institution, you confirm that
you are authorised to act for and bind that institution.

Users below the age of 18 should use paid services,
create accounts or submit personal information only
with the involvement and permission of a parent,
guardian, teacher or authorised institutional
representative.

Use of the website

You may use the website for lawful purposes, including:

  • learning about KTC and its services;
  • requesting quotations or consultancy support;
  • registering for training;
  • purchasing or downloading authorised products;
  • accessing documentation and support resources;
  • submitting legitimate feedback or enquiries; and
  • managing a valid customer or licence account.

You must not:

  • attempt to gain unauthorised access to the website,
    server, database or user accounts;
  • introduce malware, viruses, malicious code or
    automated attacks;
  • interfere with the security, functionality or
    availability of the website;
  • scrape, copy or extract website content through
    automated means without permission;
  • impersonate another person or institution;
  • submit false, misleading, defamatory or unlawful
    information;
  • use the website to distribute spam or unsolicited
    promotional content;
  • test the website for vulnerabilities without
    written authorisation;
  • bypass product licensing, access-control or
    payment mechanisms;
  • reverse-engineer software except where expressly
    permitted by law or the applicable licence;
  • use KTC products or content in a way that infringes
    intellectual property, privacy or other legal
    rights; or
  • use the website for fraudulent, abusive or unlawful
    activity.

KTC may restrict or suspend access where it reasonably
believes that these conditions have been violated.

Information provided on the website

KTC seeks to keep website information accurate and
current. However, website content is provided for
general information and may be changed without prior
notice.

Descriptions of services, product features, supported
software versions, schedules, prices and availability
may be updated as technologies and operational
requirements change.

Website content does not, by itself, constitute a
binding professional proposal, technical guarantee or
contractual commitment unless KTC expressly confirms
it in writing.

For consultancy assignments, the signed agreement,
approved proposal, statement of work or purchase order
will define the binding scope, deliverables, timetable
and fees.

Quotations, proposals and service agreements

A quotation or proposal issued by KTC is valid for the
period stated in that document. Where no validity
period is stated, it will remain valid for 30 calendar
days from the date of issue, unless withdrawn or
revised by KTC.

A service engagement becomes binding when one or more
of the following occurs:

  • both parties sign an agreement;
  • the client accepts a proposal or quotation in writing;
  • KTC receives an official purchase order;
  • the client pays a required deposit or fee; or
  • KTC begins work at the client’s written request.

Any additional work outside the agreed scope may
require a variation, revised quotation or separate
agreement.

Where these website Terms conflict with a signed
contract, the signed contract will take precedence for
the particular service covered by that contract.

Client responsibilities

A client engaging KTC must:

  • provide accurate, complete and timely project
    information;
  • identify an authorised contact person;
  • provide reasonable access to required systems,
    personnel and materials;
  • secure necessary permissions, licences and
    institutional approvals;
  • review deliverables and provide feedback within
    agreed periods;
  • protect passwords, administrative accounts and
    access credentials;
  • maintain appropriate backups unless backup services
    form part of KTC’s scope;
  • ensure that content supplied to KTC is lawful and
    does not infringe third-party rights; and
  • pay all agreed fees when due.

KTC will not be responsible for delays caused by
incomplete information, delayed approvals, unavailable
client personnel, restricted system access or failure
by the client to meet its responsibilities.

Digital products and software

KTC may offer software, Moodle plugins, themes,
accessibility solutions, templates, courses,
documentation and other digital products through
ktc.co.ug or an authorised KTC platform.

Unless stated otherwise, the purchase of a digital
product grants the customer a limited, non-exclusive,
non-transferable and revocable right to install or use
that product according to its licence.

Purchasing a product does not transfer ownership of its
source code, design, trademarks, documentation or other
intellectual property.

Customers must review the product page for:

  • supported Moodle, PHP, browser or operating-system
    versions;
  • installation requirements;
  • licence duration;
  • number of authorised websites or installations;
  • included updates and support;
  • renewal conditions; and
  • any technical limitations.

Compatibility information describes the versions tested
or supported at the time of publication. KTC does not
guarantee that a product will remain compatible with
future third-party software releases unless an active
support or update arrangement provides otherwise.

Product licences

A software licence may be linked to a customer account,
domain, installation, subscription, organisation or
licence key.

You must not:

  • share a licence key with an unauthorised person;
  • activate a product on more websites than the licence
    permits;
  • sell, sublicense or redistribute a product without
    written permission;
  • remove ownership, copyright or licensing notices;
  • publish proprietary source code or restricted
    documentation;
  • modify the software and present the modified product
    as an official KTC product; or
  • circumvent licence validation or activation
    controls.

KTC may suspend a licence where there is evidence of
misuse, payment reversal, unauthorised redistribution
or breach of the applicable licence terms. Where
practical, KTC will first notify the customer and
provide an opportunity to address the issue.

Open-source components included in a KTC product remain
subject to their respective open-source licences.

Free and community products

Some products may be released as free, community or
open-source editions.

Free products may have:

  • limited features;
  • community-based support;
  • no guaranteed response time;
  • no automatic updates;
  • limited compatibility testing; or
  • separate paid options for installation,
    customisation and technical support.

Unless expressly stated otherwise, KTC is not required
to maintain, update or provide individual technical
support for a free product.

Subscriptions and renewals

Where a product or service is offered by subscription,
the product page or order form will state the
subscription period and applicable fee.

Unless automatic renewal is clearly disclosed and
authorised during purchase, a subscription will not
automatically renew.

For automatically renewing subscriptions:

  • the customer authorises the approved payment
    provider to collect the renewal fee;
  • renewal will occur at the interval shown during
    purchase;
  • the customer may cancel future renewal before the
    next billing date; and
  • cancellation will normally take effect at the end
    of the current paid subscription period.

Cancellation of renewal does not ordinarily produce a
refund for time already used, except where required by
law or expressly provided in the applicable refund
policy.

Expiration of a subscription may end access to updates,
premium support, hosted services or licence activation.
It will not necessarily disable an installed product
unless this is clearly disclosed before purchase.

Prices, taxes and payments

Prices will be displayed on the relevant product page,
quotation, invoice or agreement.

Prices may be stated in Uganda shillings, United States
dollars or another identified currency. The customer
is responsible for any bank charges, currency-conversion
charges, taxes, duties or transaction costs that apply
to the payment.

Payments may be processed through KTC’s authorised
payment gateway, bank account, mobile money service or
another approved payment method.

KTC does not directly control the banking or
payment-processing systems of third-party providers.
Transactions may also be subject to the payment
provider’s terms, security procedures and privacy
policy.

KTC may change its prices, but a price change will not
affect a completed purchase or an existing fixed-price
contract unless the parties agree otherwise.

Deposits and project payments

Consultancy and development assignments may require an
advance deposit before work begins.

The applicable payment schedule will be stated in the
quotation, proposal, invoice or agreement. Unless
otherwise agreed:

  • work may begin after the required deposit has been
    received;
  • milestone payments become due when the relevant
    milestone is completed or submitted;
  • final files, deployment credentials or production
    releases may be withheld until payment is completed;
    and
  • overdue amounts may result in suspension of work or
    support.

A delay caused by non-payment may require revision of
the project timetable.

14

Refunds and cancellations

14.1 Consultancy and professional services

A client may request cancellation in writing. Fees
already earned for completed work, reserved professional
time, approved expenses and non-recoverable commitments
will remain payable.

Where advance payment exceeds the value of work and
non-recoverable costs already incurred, KTC may refund
the remaining balance.

14.2 Training and events

Cancellation and substitution conditions may be stated
on the relevant registration page or invitation.

KTC may postpone, reschedule or cancel a training
activity where circumstances make delivery impractical.
Where KTC cancels a paid activity and does not provide a
suitable alternative, the affected registration fee
will be refunded.

14.3 Digital products

Because digital products may be accessed, downloaded or
activated immediately, payments for successfully
delivered digital products are generally non-refundable.

KTC may, however, provide a repair, replacement, account
credit or refund where:

  • the customer was charged more than once for the same
    transaction;
  • the purchased product was not delivered;
  • a verified defect prevents the product from
    performing its substantially advertised function;
  • KTC cannot provide a reasonable correction within
    an appropriate period; or
  • a refund is required by applicable law.

A refund will not normally be provided because the
customer:

  • changed their mind after downloading or activating
    the product;
  • failed to review the compatibility requirements;
  • lacks the necessary technical environment or skills;
  • purchased the wrong product;
  • refuses reasonable troubleshooting assistance;
  • modified the product or installation in a way that
    caused the problem; or
  • experiences a conflict caused by unsupported
    third-party software.

Refund requests should be submitted through KTC’s
official contact channel and should include the order
details and a clear description of the problem.

Delivery of digital products

Digital products may be delivered through:

  • a customer account;
  • a secure download link;
  • a licence-management system;
  • email;
  • an installation service; or
  • another method stated during purchase.

The customer is responsible for providing a correct
email address and maintaining access to the account
used for purchase.

Download links may expire or be restricted to a
reasonable number of downloads for security purposes.
Customers with a valid licence may contact KTC where
legitimate access needs to be restored.

Support and maintenance

The level of support provided will depend on the
purchased product, support plan or service agreement.

Support may cover:

  • installation guidance;
  • configuration assistance;
  • investigation of verified defects;
  • compatibility guidance;
  • documentation; and
  • product updates.

Unless expressly included, support does not cover:

  • general administration of the customer’s website
    or LMS;
  • server configuration;
  • unsupported software versions;
  • problems caused by third-party plugins, themes or
    hosting;
  • custom feature development;
  • restoration of lost data;
  • cybersecurity incidents unrelated to a KTC product;
  • unauthorised product modifications; or
  • training beyond the purchased support package.

Support response times are targets rather than
guarantees unless they are included in a signed
service-level agreement.

Third-party platforms and services

KTC services may interact with Moodle, WordPress, H5P,
SCORM packages, hosting companies, payment gateways,
videoconferencing systems, artificial intelligence
services and other third-party platforms.

Third-party products and platforms are governed by their
own terms and policies. KTC does not own or control
those platforms and cannot guarantee their uninterrupted
availability, future compatibility or continued
provision.

References to third-party names and trademarks are for
identification and compatibility purposes and do not
necessarily imply endorsement or partnership.

Artificial intelligence-enabled services

Some KTC products or services may use artificial
intelligence to support functions such as content
generation, accessibility, assessment, feedback,
speech processing, translation, analytics or technical
assistance.

Artificial intelligence outputs may contain errors,
omissions or unsuitable recommendations. Users must
apply professional judgement and human review before
relying on an AI-generated output for assessment,
academic, administrative, legal or other consequential
decisions.

Where an AI-enabled service processes personal,
confidential or institutional information, users must
ensure that they have authority to submit that
information and must comply with their institution’s
data-protection and responsible-AI requirements.

KTC does not guarantee that AI-generated content will be
entirely accurate, original, unbiased or suitable for
every context.

Educational and professional disclaimer

Resources published on the website are intended to
support education, training and professional practice.
They do not replace institution-specific advice,
formal accreditation requirements, legal advice,
medical advice or another regulated professional
service.

Users remain responsible for evaluating whether a
resource is appropriate for their learners, institution,
curriculum, policies, technology environment and
intended purpose.

Intellectual property

Unless otherwise stated, KTC owns or is authorised to
use the website and its contents, including:

  • text;
  • branding;
  • graphics;
  • photographs;
  • videos;
  • course materials;
  • software;
  • source code;
  • interface designs;
  • templates;
  • documentation;
  • databases;
  • research instruments; and
  • downloadable resources.

You may view website content and retain reasonable
copies for personal, educational or internal
organisational use where this does not conflict with a
product licence.

You must obtain written permission before reproducing,
publishing, selling, adapting, translating, distributing
or commercially exploiting KTC content.

“KTC”, “Kufundisha Tecknologia Consults”, “Morska” and
associated logos, product names and branding may not be
used in a way that suggests endorsement, ownership or
partnership without written permission.

Client materials

The client retains ownership of materials it provides
to KTC, subject to any third-party rights.

The client grants KTC a limited right to access, copy,
adapt and process those materials only as reasonably
necessary to perform the agreed services.

The client confirms that it has the authority to provide
the materials and that their use by KTC for the agreed
work will not infringe copyright, privacy,
confidentiality or other legal rights.

Unless otherwise agreed, KTC will not be responsible for
verifying the accuracy, ownership or legal status of
all client-provided materials.

Ownership of commissioned work

Ownership of commissioned deliverables will be
determined by the relevant proposal, contract or
statement of work.

Unless that agreement states otherwise:

  • the client will receive the right to use the final
    deliverables for the agreed purpose after full
    payment;
  • KTC retains ownership of pre-existing tools,
    frameworks, software components, templates, methods
    and general professional knowledge;
  • third-party and open-source components remain
    subject to their respective licences; and
  • draft work, rejected concepts and development tools
    remain the property of KTC.

Source code is transferred only where this is expressly
included in the agreement.

Portfolio use

Unless confidentiality requirements or a written
agreement prohibit it, KTC may identify a completed
project in its professional portfolio and may state the
client’s name, project title and general nature of the
work.

KTC will not publish confidential data, restricted
documents, passwords, personal learner information or
proprietary client materials without permission.

A client may request in writing that a confidential
project not be publicly identified.

Privacy and personal information

KTC may collect and process personal information when
users:

  • submit an enquiry;
  • register for a course;
  • purchase a product;
  • create an account;
  • request support;
  • subscribe to communications;
  • participate in research or evaluation; or
  • interact with website analytics and security systems.

Personal information will be processed in accordance
with KTC’s Privacy Policy and applicable data-protection
law.

Users must not submit another person’s personal
information unless they have a lawful basis and
appropriate authority to do so.

Where the website links to a separate Privacy Policy,
that policy forms part of these Terms and Conditions.

Confidentiality

Each party must protect confidential information
received through a consultancy or service relationship
and use it only for the intended purpose.

Confidential information does not include information that:

  • was lawfully known before disclosure;
  • becomes publicly available without a breach of
    confidentiality;
  • is independently developed without use of the
    confidential information;
  • is lawfully received from another source; or
  • must be disclosed under a legal or regulatory
    requirement.

More detailed confidentiality provisions may be
included in a project contract or non-disclosure
agreement.

Account security

Where the website allows account registration, the user
is responsible for:

  • providing accurate registration information;
  • keeping passwords and licence keys confidential;
  • restricting unauthorised access to the account;
  • notifying KTC promptly of suspected compromise; and
  • ensuring that activities performed through the
    account comply with these Terms.

KTC may require password changes, multi-factor
authentication or other reasonable security measures.

KTC will not be liable for loss resulting from a user’s
failure to protect login credentials, except to the
extent that the loss was directly caused by KTC’s own
failure to apply reasonable security controls.

Website availability

KTC aims to maintain reasonable website availability
but does not guarantee continuous or error-free access.

The website may be temporarily unavailable because of:

  • maintenance;
  • software updates;
  • hosting interruptions;
  • internet failures;
  • cybersecurity incidents;
  • power outages;
  • third-party service failures; or
  • circumstances beyond KTC’s reasonable control.

KTC may modify, suspend or withdraw any part of the
website where reasonably necessary.

Accessibility

KTC supports inclusive access to digital information
and aims to improve the accessibility and usability of
its website and products.

However, accessibility may vary across devices,
browsers, assistive technologies, third-party content
and external platforms.

Users who encounter an accessibility barrier are
encouraged to report the affected page, product, device
and assistive technology through KTC’s official contact
channel. KTC will review reasonable accessibility
concerns and, where practicable, provide an alternative
means of access or implement an improvement.

User feedback and submissions

Where you submit feedback, suggestions, reviews or
feature requests, you grant KTC permission to use that
feedback to improve its services and products.

KTC will not treat general product suggestions as
confidential unless the parties have agreed otherwise
in writing.

You must not submit content that is unlawful, abusive,
defamatory, discriminatory, misleading, infringing or
harmful.

KTC may remove inappropriate submissions and restrict
users who repeatedly misuse community or feedback
facilities.

Warranties

KTC will provide paid professional services with
reasonable skill, care and diligence, subject to the
applicable agreement.

Except for an express warranty included in a product
page or written agreement, the website and its general
content are provided on an “as available” basis.

To the extent permitted by law, KTC does not warrant that:

  • the website will always be uninterrupted or
    error-free;
  • every product will work with all servers, plugins,
    themes or configurations;
  • every defect can be corrected;
  • educational resources will produce a particular
    learning outcome;
  • a service will result in funding, accreditation,
    employment or commercial success; or
  • third-party systems will remain available or
    compatible.

Nothing in these Terms excludes a warranty or legal
right that cannot lawfully be excluded.

Limitation of liability

To the extent permitted by law, KTC will not be liable
for indirect, incidental, special or consequential loss
arising from use of the website or services, including
loss of profit, opportunity, goodwill or data.

For a paid product or service, KTC’s total liability
arising from that product or service will ordinarily
not exceed the amount paid to KTC for the affected
product or service during the 12 months preceding the
event giving rise to the claim.

This limitation does not apply where liability cannot
lawfully be limited, including liability arising from
fraud, wilful misconduct or another matter for which
exclusion is prohibited by law.

Users are responsible for maintaining appropriate
backups, access controls, cybersecurity arrangements
and business-continuity procedures.

Indemnity

To the extent permitted by law, you agree to compensate
KTC for reasonable losses, claims, liabilities and
expenses arising directly from:

  • your unlawful use of the website;
  • your infringement of intellectual property or
    privacy rights;
  • materials you supplied without proper authority;
  • your unauthorised modification or redistribution of
    a KTC product; or
  • your material breach of these Terms.

KTC will take reasonable steps to reduce avoidable loss
and will notify you of a relevant third-party claim
where practicable.

Suspension and termination

KTC may suspend or terminate access to an account,
product, licence or service where:

  • payment remains overdue;
  • the user materially breaches these Terms;
  • the account presents a security risk;
  • there is suspected fraud or unlawful activity;
  • a licence is being misused or redistributed;
  • continued service would breach a legal requirement;
    or
  • a third-party provider necessary for the service
    becomes unavailable.

Where appropriate, KTC will provide notice and a
reasonable opportunity to remedy the breach.

Termination does not affect rights, obligations or
payments that arose before termination. Clauses
concerning intellectual property, confidentiality,
payment, liability and dispute resolution will continue
where their nature requires them to survive termination.

Force majeure

Neither party will be liable for delay or failure
caused by circumstances beyond its reasonable control,
including natural disasters, epidemics, civil
disturbance, government restrictions, prolonged power
or internet failure, industrial action, war,
cybersecurity emergencies or failure of critical
third-party infrastructure.

The affected party must notify the other party where
practicable and take reasonable steps to reduce the
disruption.

Where such circumstances continue for an extended
period, either party may request that the affected
engagement be rescheduled, varied or terminated on
reasonable terms.

Complaints and dispute resolution

Questions or complaints should first be submitted to
KTC through the contact details published on ktc.co.ug.

The parties should attempt to resolve a dispute through
good-faith discussion.

Where a dispute cannot be resolved through direct
discussion, the parties may agree to mediation or
another appropriate alternative dispute-resolution
process before commencing court proceedings.

Nothing in this clause prevents either party from
seeking urgent protective or injunctive relief where
necessary.

Governing law and jurisdiction

These Terms and Conditions are governed by the laws of
the Republic of Uganda.

Subject to the dispute-resolution provisions above,
disputes arising from these Terms or the use of
ktc.co.ug will be submitted to the courts of competent
jurisdiction in Uganda.

Where a written agreement specifies a different lawful
dispute-resolution process, that agreement will govern
the relevant engagement.

Electronic communications

You agree that communications, notices, invoices,
approvals, contracts and other records may be created,
sent, received and stored electronically, subject to
applicable law.

You are responsible for ensuring that the email address
and contact information supplied to KTC remain current.

An electronic communication will be treated as received
when it becomes accessible through the recipient’s
designated email address, account or information
system, unless the sender receives a delivery-failure
notice.

Changes to these Terms

KTC may revise these Terms and Conditions to reflect
changes in its services, technology, business operations
or legal obligations.

The updated version will be published on this page with
a revised “Last updated” date.

Material changes affecting an active subscription or
account may also be communicated through email, an
account notice or another reasonable method.

Continued use of the website after revised Terms take
effect constitutes acceptance of the revised Terms.
Changes will not retrospectively alter a signed
fixed-term agreement unless the parties agree in writing.

Severability

Where any provision of these Terms is found to be
invalid or unenforceable, that provision will be
interpreted or limited to the minimum extent necessary,
and the remaining provisions will continue in effect.

No waiver

A failure or delay by KTC to enforce a provision does
not waive its right to enforce that provision later.

Any waiver must be clearly made in writing and applies
only to the particular circumstances for which it was
given.

Entire agreement

These Terms, together with the applicable Privacy
Policy, Cookie Policy, product licence, quotation,
proposal, invoice, statement of work and signed
agreement, constitute the agreement governing the
relevant website use, purchase or service.

Where documents conflict, the following order will
generally apply:

  1. a signed agreement or contract;
  2. an approved statement of work;
  3. a product-specific licence or subscription agreement;
  4. an accepted proposal or quotation;
  5. these Terms and Conditions; and
  6. general website information.
